Terms & Condition

1. Acceptance of Terms

By engaging the services of HopesBright Technologies Private Limited (the “Company”), the client (“Client”) unconditionally accepts these Terms and Conditions.

2. Services

  • Scope of Services: The Company will provide digital marketing and website development services as outlined in the project scope and proposal.
  • Modifications: Any changes to the project scope require a written amendment and may result in changes to the project timeline and cost.

3. Intellectual Property

  • Ownership: All intellectual property rights, including copyrights, trademarks, and patents, related to the work produced by the Company shall remain with the Company unless explicitly assigned to the Client in writing.
  • License: The Company grants the Client a non-exclusive, non-transferable license to use the delivered materials for the intended purpose.

4. Client Obligations

  • Information: The Client is responsible for providing accurate and complete information to the Company.
  • Access: The Client must provide necessary access to resources and personnel as required for the project.
  • Payment: The Client agrees to pay the Company fees as outlined in the project proposal.

5. Payment Terms

  • Payment Schedule: Payment terms will be specified in the project proposal.
  • Late Payments: Late payments may incur interest charges at 5% per month.
  • Termination: Non-payment may result in termination of the project.

6. Confidentiality

  • Confidential Information: Both parties agree to keep confidential any proprietary or confidential information disclosed by the other party.

7. Limitation of Liability

  • Liability: The Company’s liability for any damages arising from this agreement shall be limited to the total amount paid by the Client for the project.
  • Indirect Damages: The Company shall not be liable for any indirect, incidental, or consequential damages.

8. Termination

    • Termination by Client: The Client may terminate the project by providing 3 days written notice.
    • Termination by Company: The Company may terminate the project for cause, including but not limited to non-payment or breach of these terms.
    • Termination Fees: Upon termination, the Client may be liable for fees incurred by the Company up to the termination date.

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Delhi.

10. Entire Agreement

This agreement constitutes the entire understanding between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
